Quick answer

Every Malaysian company must keep a registered office in Malaysia (Companies Act 2016, s.46) where its statutory records are kept or notified (s.47). When the address changes, the directors approve it by resolution and SSM must be notified within 14 days under s.46(3), on a notice signed by the company secretary. Your registered address does not have to be where you trade: SSM records a separate business address. We prepare the resolution and lodge the notice for you.

Overview

Your registered office is the company's official address for legal notices from SSM, LHDN, courts and other parties. Under Section 46 of the Companies Act 2016 it must be in Malaysia and open to the public during business hours, and under Section 47 the statutory registers must be kept there, or at another place SSM has been notified of.

Moving office, switching company secretary or moving from a virtual office to your own premises all mean the registered address — and possibly the place your records are kept — changes. The change is approved by directors' resolution and notified to SSM within 14 days.

The SSM notice is only the first step. Your bank, LHDN, business premise licence, CIDB or other licences, and e-invoice profile each hold the old address; licences in particular are tied to a physical premise and may need a fresh application if the business itself moves.

  • Moving your business premise is not the same as changing the registered address — premise licences are issued per location.

Can we use a virtual office as the registered address?

Yes, as long as it is in Malaysia and statutory records can be kept or accessed there.

Does our business licence move with it?

No. Premise licences are tied to the physical location; moving premises usually needs a new licence application.
