Overview

Singapore is often the regional headquarters for groups expanding into Southeast Asia, and a Singapore Pte. Ltd. is the standard vehicle. Incorporation is handled online with ACRA and is fast when the structure is ready.

The structure has fixed requirements. At least one director must be ordinarily resident in Singapore — foreign founders without a Singapore Employment Pass usually need a nominee director arrangement. The company needs a local registered address, and a qualified, Singapore-resident company secretary must be appointed within six months. There is no statutory minimum paid-up capital, and ACRA's fees total S$315.

Two obligations start immediately after incorporation: the Register of Registrable Controllers must be set up within 30 days, and CorpPass is needed to transact with Singapore government agencies. We set up both, so the company is compliant and operational rather than merely registered.
